Actum operates this marketplace. Bearer deeds are issued by an affiliated issuer entity, referred to in these terms as the Issuer. The Issuer is the counterparty to every deed holder. Entity names, registered offices, and registration numbers will be completed at incorporation.
In these terms, “Actum”, “we”, and “us” refer to the marketplace operator. “You” refers to the person using the service.
Actum is a marketplace for buying, selling, and managing real property represented by bearer deeds. You can browse listings, buy and sell deeds, place bids, commission verification reports, list a property for the first time, and manage property you hold — all from one account.
You must be at least 18 years old to open an account. The information you give us must be accurate and kept up to date. You are responsible for keeping your sign-in credentials safe and for everything done under your account. We may suspend or close accounts that break these terms or the law.
A bearer deed is a contractual redemption claim against the Issuer in respect of a specific property. Holding the deed entitles the holder to the rights set out in the Actum Bearer Deed Terms, including the right to redeem the deed for the underlying property. A bearer deed is not a share, and it is not ownership of any company.
The Issuer maintains the register of deed holders. That register controls who holds each deed. The on-chain record is strong evidence of holding, and the register and the chain are kept in step, but where they differ the register prevails.
Bearer deed transfers are final once settled on-chain. There is no reversal, chargeback, or cancellation of a settled transfer. Do not transfer a deed unless you intend the transfer to be permanent.
Two kinds of purchase exist on Actum and they work differently. A digitized listing already has a bearer deed; buying one settles quickly once payment clears. A first listing has no deed yet; buying one starts a multi-week process that includes a deposit, identity verification, contract signing, and the legal work needed to issue the deed. The listing page always tells you which kind you are looking at.
Deposits and purchase payments are processed by licensed payment processors. Actum never holds your money. First-listing deposits are refundable until they are attached to a completed verification step; unattached deposits older than seven days are refunded automatically.
Placing a bid costs nothing and moves no money. Payment is only requested if the seller accepts your bid, and you may withdraw before paying. A bid on a first listing that is accepted enters the same first-listing process described above.
The marketplace fee is shown at checkout before you commit to a purchase. Property verification is a paid service: you pay the full fee up front, and the agency you choose must deliver its report within 5 working days of payment. If the agency misses that window, the payment is refunded in full automatically. Verification reports are public artifacts on the listing, whoever commissioned them.
All payments on Actum are processed by licensed payment processors — currently Stripe. Your payment details go to the processor, not to us. Refunds, where these terms provide for them, are issued back through the same processor.
You do not need to verify your identity to browse. Identity verification is performed through a verification provider when you originate a first listing, and wherever the law requires it. We may decline or unwind a transaction where verification fails or where sanctions or anti-money-laundering rules require us to.
You may not use Actum to launder money, evade sanctions, or finance crime. You may not misrepresent a property, a document, or your identity. You may not interfere with the service, probe or bypass its security, scrape it at scale, or use another person’s account. We may suspend accounts and report activity where the law requires.
Property values move. Nothing on Actum is investment, legal, or tax advice, and listings, estimates, and verification reports are information, not guarantees. The service is provided as it stands; we do not promise it will be uninterrupted or free of errors. To the extent the law allows, our liability to you is limited to the fees you paid us for the transaction concerned. Nothing in these terms limits liability that cannot lawfully be limited. This section is provisional and will be settled by counsel.
The governing law and forum for these terms are to be confirmed by counsel and will be stated here before launch.
We may revise these terms. If a change is material, we will tell you before it takes effect — by email or by a notice in the product. Continuing to use Actum after a change takes effect means you accept the revised terms. Deeds already issued remain governed by the Bearer Deed Terms version they were issued under.
